FOIA Project Annotation: Judge Christopher Cooper has ruled that Colorado Wild Public Lands may not enforcement a agreement on how to proceed in its litigation against the U.S. Forest Service because Assistant U.S. Attorney Bradley Silverman, who was representing the agency in litigation, did not have actual authority to bind the government. COWPL filed a FOIA request in October 2021 with the Forest Service for records regarding a land exchange of National Forest lands in southwest Colorado. In February 2022, the parties came close to reaching a settlement agreement and in May 2022, Silverman emailed COWPL the parties' proposed settlement agreement and two memorandums to his supervisor, Heather Graham-Oliver, Deputy Chief of the Civil Division of the U.S. Attorney's Office for the District of Columbia, telling her that "the parties think it makes sense to settle all issues other than attorney's fees by June 1, and then negotiate over attorney's fees and settle them separately. Would that be okay?' Graham-Oliver replied on her cell phone 35 minutes later stating "Yes, that is okay." Silverman somehow understood Graham-Oliver's response to signal her approval of the substance of the settlement agreement, as opposed to simply providing an answer to his question about settling the merits and fees separately. Silverman immediately contacted COWPL by telling the organization that his supervisor had approved the settlement agreement, which was attached, and if it looked okay to them, they should sign it and send it back to him and then settle the issue of attorney's fees later. COWPL's counsel indicated that he agreed and that Silverman should go ahead and sign the agreement as well. However, before Silverman signed the agreement, Graham-Oliver contacted him to express her misgivings about the draft agreement and to state that he did not have authority to execute it. Silverman then called COWPL's counsel and indicated that he did not have authority to settle the case and the parties went back to trying to salvage an agreement. Brian Hudak, Chief of the Civil Division told Silverman that the settlement agreement would need to be substantially rewritten. Silverman informed COWPL's counsel that the agreement would need to be substantially rewritten. However, when the parties had a status conference before Cooper, COWPL's counsel argued that he believed that the parties had reached a valid settlement agreement on May 23 and asked Cooper to enforce its terms. Cooper then found the earlier settlement agreement was not valid because Silverman did not have actual or apparent authority to bind the government. He noted that "a government official possesses express actual authority to bind the United States 'only when the constitution, a statute, or a regulation grants such authority to that agent in unambiguous terms' and possesses implied actual authority 'when the employee cannot perform his assigned tasks without such authority and when the relevant agency's regulations do not grant the authority to other agency employees." Cooper pointed out that according to Silverman's supervising attorneys "non-supervisory AUSAs in the Civil Division such as Mr. Silverman lack any delegated authority to settle cases without specific approval by a Civil Division supervisory attorney or other Justice Department official with settlement authority. Therefore, unless Silverman obtained authorization to settle the case with COWPL, he had no actual authority â€" either express or implied â€" to settle the case." COWPL argued that Graham-Oliver authorized Silverman to settle the case when she gave him permission to continue discussions. Cooper pointed out that "the obvious, and, by far, more reasonable interpretation of this response is that Graham-Oliver was answering only the question in the body of Siverman's email. Graham-Oliver did not tell Silverman that 'the settlement is ok' or 'the draft is ok.' Rather, she stated only that 'that is ok,' the word 'that' referring to Silverman's proposition that the parties deal with the merits and fee issues separately." Cooper also looked at the possibility that apparent authority might also apply. He observed that "under that theory, an agent may bind the principal 'when a third party reasonably believes the actor has authority to act on behalf of the principal and that belief is traceable to the principal's manifestations.' Thus, according to COWPL, Silverman's statement that he had supervisor authority to settle the case, even if erroneous, should bind the Forest Service nevertheless." But Cooper agreed with Forest Service, noting that 'the doctrine of apparent authority does not apply to dealings with the Government.'"
